Introduction
These Terms of Service ("Terms") govern your use of the AI Assistant subscription service ("Service") operated by LaDonte Prince, doing business as LaDonte Prince AI ("we," "us," or "our"), accessible through the Web Portal at ladonteprince.com/app and delivered via Telegram, Discord, and WhatsApp messaging platforms.
By subscribing to or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Service Description
LaDonte Prince AI provides personal AI assistant services delivered through the Web Portal (ladonteprince.com/app), Telegram, Discord, and WhatsApp messaging platforms. The Service includes AI-powered conversation, task assistance, and productivity support tailored to your subscription tier.

Features and capabilities may vary by plan. We reserve the right to modify plan features with 30 days' written notice to active subscribers.
AI Memory & Learning
The Service uses persistent memory and learning capabilities to improve your experience over time. By using the Service, you acknowledge and consent to the following:
- Preference Retention: The AI retains your preferences, context, and interaction history between conversations. This allows the assistant to provide increasingly personalized responses without requiring you to repeat information.
- Personality Evolution: The AI evolves its communication style and personality based on your usage patterns. This adaptation is designed to make interactions feel more natural and aligned with your working style.
- Workflow Tracking: The Service may automatically track and remember recurring workflows, tasks, and routines you share with the assistant to provide proactive support.
- Customer Context Storage: The Service stores contextual information you provide (such as business details, preferences, and goals) to deliver relevant assistance across sessions.
Your Control: You may clear your AI memory at any time via Settings > Memory or Settings > Privacy within the Service. Clearing memory removes stored preferences and resets personalization. Preference data is used solely to personalize your experience and is not shared with third parties.
Proactive Outreach & Notifications
The Service may send proactive messages to assist you. These outreach features require your explicit opt-in:
- Daily Check-ins: The AI may send daily check-in messages to help you stay on track with goals and tasks. You opt in to daily check-ins via Settings > Notifications.
- Scheduled Follow-ups: Based on your conversations, the AI may schedule follow-up messages to remind you of deadlines, commitments, or action items discussed in prior sessions.
- Disabling Proactive Messages: You may disable all proactive outreach at any time via Settings > Notifications. Disabling this feature does not affect your ability to initiate conversations with the assistant.
Specialist Routing
To provide expert-level assistance, the Service may route your conversations to specialized AI agents. These agents are optimized for specific domains, including but not limited to:
- Research and information gathering
- Data analysis and reporting
- Writing, editing, and content creation
- Business strategy and planning
Routing is handled automatically based on the nature of your request. All specialist agents operate under the same privacy protections, data handling policies, and terms described herein. Your conversation context may be shared with the specialist agent to ensure continuity.
Cross-Platform Sync
If you connect multiple communication channels to the Service (such as the Web Portal, Telegram, Discord, or WhatsApp), the following applies:
- Context Sync: Your conversation context, preferences, and AI memory sync across all connected platforms. A conversation started on the Web Portal may be continued on Telegram or Discord with full context preserved.
- Preference Consistency: Settings and preferences you configure on one platform apply across all connected channels.
- Data Flow: By connecting multiple channels, you consent to your data flowing between those connected platforms to maintain a unified experience. Data is transmitted securely and is not shared with the platform providers beyond what is necessary to deliver messages.
Workspace & Data Ownership
- Workspace Files: The Service creates and maintains workspace files on your behalf, including personality profiles, preference records, and contextual data. These files are used exclusively to power your personalized AI experience.
- Your Data, Your Property: You own all data stored in your workspace, including your conversation history, preferences, context, and any content you provide to the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely to deliver the Service to you.
- AI-Generated Output: Content generated by the AI assistant in response to your inputs is provided for your use. You are responsible for reviewing, verifying, and determining the appropriateness of any AI-generated output before relying on it.
- Our Property: All intellectual property in the Service, including its design, branding, software, and AI configurations, remains the sole property of LaDonte Prince AI.
- Data Export: You may request an export of your workspace data at any time by contacting us at ladonte@ladonteprince.com.
- Data Deletion: Upon account termination, you may request complete deletion of your workspace data. Deletion requests are processed within 30 days.
- Feedback: Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation or compensation to you.
Subscription & Billing
- Billing Cycle: Subscriptions are billed monthly on the anniversary of your signup date. All payments are processed through Stripe.
- Payment Method: You must provide a valid payment method. You authorize us to charge your payment method for recurring subscription fees.
- Price Changes: We may adjust pricing with at least 30 days' notice before your next billing cycle. Continued use after a price change constitutes acceptance.
- Failed Payments: If a payment fails, we will attempt to process it again. After 3 failed attempts, your access to the Service may be suspended until payment is resolved.
- Taxes: All prices are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes required by your jurisdiction.
Cancellation & Refunds
- Cancellation: You may cancel your subscription at any time by contacting us at ladonte@ladonteprince.com. Cancellation takes effect at the end of your current billing period.
- Access After Cancellation: You will retain access to the Service through the remainder of your paid billing cycle.
- Refunds: Subscription fees are non-refundable except where required by applicable law. Partial-month refunds are not provided.
- Downgrade: You may request a plan downgrade at any time. The change takes effect at the start of your next billing cycle.
Acceptable Use
You agree to use the Service responsibly and lawfully. You may not use the Service to:
- Generate, store, or distribute illegal, harmful, abusive, defamatory, or obscene content
- Attempt to reverse-engineer, exploit, or extract the underlying AI models or proprietary systems
- Resell, sublicense, or redistribute access to the Service without written authorization
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Transmit malware, spam, or any form of automated messaging that disrupts the Service
- Use the Service for activities that violate the terms of service of any connected platform, including Telegram, Discord, or WhatsApp
- Circumvent usage limits, rate limits, or other technical restrictions of your plan
Violation of these acceptable use policies may result in immediate suspension or termination of your account without refund.
Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- AI-generated responses may contain errors or inaccuracies. The Service does not constitute professional, legal, financial, or medical advice.
- We do not guarantee uninterrupted or error-free operation of the Service.
- We are not responsible for actions taken by third-party platforms (including the Web Portal hosting provider, Telegram, Discord, WhatsApp, or Stripe) that may affect your access to the Service.
Liability Cap: To the maximum extent permitted by law, our total liability for any claims arising from or related to the Service shall not exceed the amount you paid for the Service in the three (3) months preceding the claim.
In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.
Termination
- By You: You may terminate your account at any time by canceling your subscription and contacting us.
- By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in prohibited conduct.
- Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account data within 30 days of termination, unless retention is required by law.
- Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
Indemnification
You agree to indemnify, defend, and hold harmless LaDonte Prince AI, its owner, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
- Dispute Resolution: Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable rules.
- Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.
Changes to These Terms
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through the Service at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
